The Audit Commitee -
- recommends the independent auditors of USAA, reviews the report of the independent auditors and management letter, and recommends action as needed;
- meets with the independent auditors of USAA prior to the release and filing of USAA's annual audit to review such materials;
- meets separately in executive session individually with the CEO and USAA's financial staff;
- investigates matters of fiscal controls and disclosure and such other matters as directed by the Board
